Abstract:
سعت هذه الدراسة الى التعرف على دور حوكمة الشركات وتاثيرها على العملية التامينية وما تتعرض له شركة اعادة التامين العراقية من مخاطربسبب تجاوز دورها من لدن شركات التامين المحلية بوصفها شركة محترفة (لاعمال اعادة التامين ) وبالتالي الاحتفاظ بالاعمال الوطنية وبحسب ملائتها المالية وقبولها لاعمال اعادة التامين الاجنبية للتاثير في نتائج اعمال اعادة التامين لصالح ميزان المدفوعات العراقي .عملت شركات التامين المحلية من منطلق الصلاحيات الممنوحة لهواالتي وردت في القانون رقم 10 لسنة 2005 لمزاولة التامين في العراق .حددت مشكلة الدراسة بعدد من التساؤلات الاتية : 1 - ما مدى امكانية تنفيذ معاييرحوكمة الشركات في شركة اعادة التامين العراقية موضوع البحث ؟2 - ما هي متطلبات تطبيق حوكمة الشركات في (شركة التامين ، وشركة اعادة التامين). لادارة مخاطرها؟3 - ماهو اثر تطبيق حوكمة الشركات في ادارة الخطر؟4 - ما مستوى تطبيق شركة اعادة التامين العراقية ، باجرءات وعمليات حوكمة الشركات بتطبيق معايير الاتحاد الدولي لمراقبي التامين ؟ولقد تم وضع بنية اجرائية لها تتطلب تصميم انموذج افتراضي يعكس طبيعة العلاقة والتاثيربين (حوكمة الشركات وادارة الخطر ) ونتج عنها مجموعة من الفرضيات الرئيسة والفرعية التي تعكس هذه العلاقات .ولاختبار الفرضيات تم جمع البيانات المتعلقة بمتغيرات انموذج الدراسة باعتماد استبانة اعدت لهذا الغرض ولاجل معالجة البيانات والمعلومات استخدمت في هذه الدراسة اساليب احصائية (التحليل الوصفي ،معامل الانحدار المتعدد ،معامل الارتباط لسبيرمان) ،واستخرجت النتائج باستخدام البرنامج الاحصائي ((Spss,Ver,10 .وبهذا فقد تم التوصل الى مجموعة من الاستنتاجات التي تخص الجانب التطبيقي ،واهمهواجود علاقة ارتباط وتاثير بين (حوكمة الشركات وادارة الخطر) في الشركة المبحوثة وقبول فرضيات الدراسة ورفض بعضهوابالاعتماد على الاستنتاجات التي توصلت اليها الدراسة فقد تم وضع مجموعة من التوصيات التي تنسجم مع واقع الدراسة واهميتها 1. ضرورة اعتماد حوكمة الشركات في شركة اعادة التامين العراقية كنظام استرشادي ملتزم هدفه حماية مصالح الشركة وتطورها فنيوا ماليوا اداريا.2. اشراك العاملين بمختلف مستوياتهم وتخصصاتهم بدورات حوكمة الشركات(نظم قانونية، اقتصادية ،مالية ،ادارية ) وادارة الخطر (الخطر المؤسسي ،اخطار التامين وادارتهواتدريب الكوادر مهنيواسلوكيا ).3. اهمية استخدام التقنيات المعلوماتية والاتصالات لاغراض ادارة الخطر | The aim of this study to identify the role of Corporate Governance and it’s effect on insurance operation and what risks Iraq reinsurance company opposes because of its role which goes more than locally insurance companies for it consider as a professional for reinsurance business and then the retention of National operation according to it’s financial solvency of foreign reinsurance operation to influence the results of work of Iraq Reinsurance operation for the benefit of Iraqi balance payments.Local Iraqi reinsurance works according to the giving authority based on Low No : 10 for the 2005, to practice insurance in Iraq.The problem of this study pointed on several questions such as : - 1 - The ability to attain the of items Corporate Governance Supervisors in Iraq reinsurance Co.?2 - What are the requirement to apply attainable Governance in reinsurance co, and insurance co,for managing risks?3 - What is the impact of application Governance Corporate on managing risks?4 - What is the level which Iraq reinsurance Co,(the studied company)could apply the process and the operation of Corporate Governance to apply the items of International Association Insurance Supervisors? Placing processing construction which needs to design a probable sample which reflect the nature of the relation and the impact between combines (corporate Governance and Risk Management) which consequent several main and branches assumption which reflect these relationships. To test the validity of hypotheses have been collecting data on variables model study adoption questionnaire prepared for this purpose and for data processing and information study used methods (SPSS, Ver.10).So we have come approach to a number of samples on application side the most important one was that there is a relationship and an impact between Corporate Governance and Risk Management on the researched company and acceptance of study assumptions based on these consequences, and refused some another it. And this has been reached to a set of conclusions concerning the practical side and conclusions reached by the study have been to recommendations that are consistent with the reality and importance of the study : - 1 - The necessary to depending a Corporate Governance at Iraq reinsurance Co, the guide system program give at the goal for development at technologic and financial administrative.2 - Complete with staff specialization at training for Corporate G0vernance,(Low system, economical, financial, and administrative) and with theRisk management (firm risk, insurance risk management, and management risk)3 - Use, I.T and communication at risk management
